1. INTRODUCTION

These Terms of Service (“Terms”) govern access to and use of the AmgapTech AI Gateway operated by AmgapTech LTD, located at Atomic Down, Kwabenya, Ghana.

By creating an account, accessing, or using the platform, you agree to be bound by these Terms.

• If you do not agree, do not use the service.

2. ELIGIBILITY

You must be at least 18 years old to use this service.

By using the platform, you confirm that:

You are legally able to enter into a binding agreement

• You will use the service in compliance with all applicable laws

3. DESCRIPTION OF SERVICE

The AmgapTech AI Gateway provides:

AI-powered chat interfaces

Automated customer support systems

Agentic AI capable of executing actions within connected applications

API-based integration for websites, SaaS platforms, and web applications

• The service operates on a subscription and token-based usage model.

4. USER ACCOUNTS & API KEYS

4.1 Account Responsibility

Users must create an account to access the service.

You are responsible for:

Maintaining account security

• All activity under your account

4.2 API Keys

Users generate API keys to connect the AI Gateway to their applications.

This means:

Your API key acts as authentication to your AI system

Any activity using your key is considered authorized by you

You must:

Keep API keys confidential

Not expose keys publicly (e.g., frontend code without protection)

• Rotate keys immediately if compromised

4.3 Suspension

We may suspend or terminate accounts if:

These Terms are violated

Abuse or suspicious activity is detected

• Security risks are identified

5. BILLING & PAYMENTS

Subscription plans are billed monthly or yearly

Usage may be limited by tokens or request volume

All payments are final

Refund Policy

No refunds after 10 days of purchase

• No refunds once any tokens have been used

6. ACCEPTABLE USE POLICY

You may NOT use the platform to:

Generate illegal, fraudulent, or harmful content

Conduct scams, impersonation, or deception

Generate abusive, hateful, or violent content

Attempt unauthorized access to systems or data

Reverse-engineer, probe, or exploit the platform

Bypass rate limits or security protections

Use the system for automated attacks or scraping

Resell or white-label the service without permission

• Violation may result in immediate suspension or termination.

7. AI LIMITATIONS & DISCLAIMERS

The AI Gateway uses machine learning systems that:

May produce inaccurate or misleading outputs

May generate incomplete or incorrect responses

Operate probabilistically, not deterministically

You acknowledge:

AI outputs are not guaranteed to be correct

You are responsible for verifying outputs

• You assume all risk for decisions made based on AI responses

8. AI ACTION EXECUTION (AGENTIC FEATURES)

The platform allows AI to perform actions within your system.

By enabling this:

You authorize the AI to execute configured actions

You are fully responsible for all actions performed

AmgapTech is not liable for unintended actions, errors, or outcomes

• All actions are logged and available for review.

9. DATA & PRIVACY

All chats and conversations are stored for user review and system observability

AI interaction logs are recorded for debugging and performance monitoring

• Data is not used to train external AI models

Users retain ownership of:

Their data

Their inputs

AI-generated outputs

AmgapTech retains ownership of:

Platform infrastructure

APIs

• Underlying technology

10. API USAGE & FAIR USE

Usage is subject to rate limits based on your plan

Fair usage policies apply to ensure system stability

Excessive or abusive usage may result in throttling or suspension

• White-labeling and unauthorized redistribution are strictly prohibited.

11. SERVICE AVAILABILITY

The service is provided without guaranteed uptime

Maintenance will be communicated when possible

• Features may be modified, added, or discontinued at any time

12. LIMITATION OF LIABILITY

• To the maximum extent permitted by law:

AmgapTech is not liable for:

Loss of profits

Business interruption

Data loss

Indirect or consequential damages

Total liability is limited to:

• The amount paid by the user in the last 3 months

13. TERMINATION

We reserve the right to:

Suspend or terminate accounts at any time for violations

• Users may stop using the service at any time.

14. GOVERNING LAW

These Terms are governed by the laws of Ghana.

• All disputes shall be resolved under Ghanaian jurisdiction.

15. CHANGES TO TERMS

We may update these Terms at any time.

• Continued use of the platform constitutes acceptance of updated Terms.

• ENTERPRISE & ADVANCED TERMS

16. SERVICE LEVEL AGREEMENT (SLA)

Unless explicitly stated in a separate agreement:

No guaranteed uptime is provided

No financial penalties for downtime apply

• Custom SLAs are available for enterprise clients.

17. DATA PROCESSING (B2B CLIENTS)

For business users:

AmgapTech acts as a data processor

The client acts as the data controller

• We process data strictly to provide the service.

18. COMPLIANCE

We align with:

Ghana Data Protection regulations

Industry-standard security practices

• Users are responsible for ensuring their own compliance (e.g., GDPR if applicable).
